ERB AROMA – TERMS OF SERVICE & SCENTING SYSTEM LEASE AGREEMENT

By purchasing, subscribing to, or using any Erb Aroma service, you (“Client,” “Customer”) agree to the following Terms of Service and Lease Agreement (“Agreement”). If you do not agree, do not proceed with checkout or service use.
1. SERVICES PROVIDED
Erb Aroma provides whole-home and commercial HVAC scenting services using professional-grade scent diffusion equipment integrated into existing HVAC systems. Services may include equipment installation, system configuration, fragrance supply, maintenance, and ongoing subscription services.
2. LEASED EQUIPMENT OWNERSHIP
All scenting equipment provided by Erb Aroma is leased, not sold.
Equipment remains the exclusive property of Erb Aroma at all times.
Client receives a limited, non-transferable right to use the equipment while the subscription remains active.
Client may not sell, relocate, modify, tamper with, or permit third-party servicing of the equipment without written approval from Erb Aroma.
3. SETUP & INITIAL FEES
The first month may include a one-time setup and installation fee, which may be higher than the recurring monthly service fee.
Setup and installation fees are non-refundable once installation has occurred.
Client must provide access at the scheduled installation time. Missed or denied access may result in rescheduling fees.
4. SUBSCRIPTION BILLING
Subscriptions are billed monthly in advance.
Charges are automatically processed using the payment method provided at checkout.
Failure to process payment may result in service interruption or equipment removal.
5. CANCELLATION POLICY
There is no minimum contract length.
Client may cancel service at any time by providing written notice at least 5 days prior to the next billing date.
Cancellations submitted fewer than 5 days before the billing date may result in one final billing cycle.
No refunds are issued for partial billing periods.
6. EQUIPMENT RETURN UPON CANCELLATION
Upon cancellation or termination of service:
Client must allow Erb Aroma reasonable access to remove all leased equipment.
Equipment must be returned in good working condition, normal wear and tear excepted.
Lost, damaged, modified, or non-functional equipment will be billed at repair or full replacement cost.
7. CLIENT RESPONSIBILITIES
Client agrees to:
Maintain normal HVAC operation
Avoid tampering with equipment
Notify Erb Aroma of damage, HVAC changes, or system issues
Provide reasonable access for maintenance, service, or removal
8. FRAGRANCE & AIR QUALITY
All fragrances are IFRA-compliant and specifically formulated for HVAC diffusion.
Client acknowledges scent strength and perception are subjective.
Erb Aroma is not responsible for personal sensitivities, allergies, or reactions not caused by gross negligence.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Erb Aroma is not liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the amount paid by Client in the previous 3 months.
Erb Aroma is not responsible for HVAC issues unrelated to the installed system.
10. INDEMNIFICATION
Client agrees to indemnify and hold harmless Erb Aroma from claims arising from misuse, unauthorized modification, or violation of this Agreement.
11. FORCE MAJEURE
Erb Aroma shall not be liable for delays or failure to perform due to events beyond reasonable control, including acts of God, supply chain disruptions, or utility failures.
12. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Utah, without regard to conflict of law principles.
13. CHANGES TO TERMS
Erb Aroma may update these Terms at any time. Continued use of services after changes constitutes acceptance of the updated Agreement.
14. ACCEPTANCE
By checking the box at checkout and completing payment, Client confirms that they:
Have read and understand this Agreement
Agree to all Terms of Service and Lease conditions
Authorize recurring monthly billing
